Phnom Penh – Implications of the New Civil Code on Banking & Finance Projects in Cambodia

As you may know, the recent years and months have been rich in legal developments; some of which have a direct impact on banking and finance operations.

Notably, the Law on the Implementation of the New Civil Code was enacted by the National Assembly on 6 April 2011, approved by the Senate on 9 May 2011 and entered into force on 21 December 2011. In respect of financing, secured lending and other financial operations undertaken by Cambodian banks, we are of the view that the Civil Code will have a significant impact on contractual relationships, banking and finance activities and documentation.

In our upcoming Legal Breakfast, over coffee and croissants, Mr. Martin Desautels, Regional Managing Partner and Head of our Banking & Finance Practice Group, Ms. Jia Jia Xing, and Mr. Sinath Un, Advisers to our Banking & Finance Practice Group, will discuss these new legal developments, including how the enforcement of the Civil Code might impact banking & finance projects in Cambodia. Key topics include the impact of the implementation of the Civil Code on and legal implications to the financing documents of:

  • Loan agreements;
  • Mortgage agreements over immovable assets;
  • Pledges over movable assets; and
  • Guaranty agreements and other financing documents.
