The DFDL team was proud to team up with the American Chamber of Commerce of Vietnam to present a panel discussion on M&A transactions at The Reverie Saigon on 01 November 2022.
The workshop, “De-Risking M&A Transactions Through Insurance,” brought together a panel of experts, including Jerome Buzenet (DFDL Partner and Managing Director at DFDL Legal & Tax), and was moderated by Aris Wong, the managing director at BMS Group
Jerome explained the risks in an M&A transaction, the crucial purpose of due diligence, and the allocation of risks in a transaction by way of warranties and indemnities (W&I). He also discussed some of the misunderstandings and roadblocks that sometimes arise from W&I.
The expert panel also explained how due diligence and W&I insurance go hand in hand in terms of risk allocation and looked at the insurance for M&A, W&I, tax liability, titles and contingencies.
There was also a brief overview of the structuring of buy-side W&I policies and key commercial terms. The panel also included Huong Trinh (Partner at BDA Partners) and Maria Steeples (Head of Warranty and Indemnity insurance, Morrison & Foerster, Singapore).
The seminar included a lively Q&A session during which the audience put several interesting questions to the expert panel. The quests were eager to learn, among other aspects of M&A, how often do unknown risks materialize and is it important to have insurance to place to mitigate such risks.
The DFDL-AmCham seminar ended with concluding remarks from each of the expert panelists.
